1. Acceptance of These Terms

Welcome to MonieLoop. These Terms of Service ("Terms" or "Agreement") are a legally binding contract between you ("User," "you," or "your") and MonieLoop ("Company," "we," "us," or "our") governing your access to and use of the MonieLoop mobile application, website, and all related services (collectively, the "Service").

By creating an account, downloading the app, clicking "I Agree," or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must meet all of the following conditions to use MonieLoop:

You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher.

You have the legal capacity to enter into a binding contract.

You are not prohibited from using the Service under applicable law.

You will use the Service only for personal, household, or small-group financial management purposes.

By using MonieLoop, you represent and warrant that you meet all eligibility requirements. We reserve the right to suspend or terminate accounts found in violation of these requirements.

3. Description of the Service

MonieLoop is a personal financial management platform that provides:

Goal-Based Savings Tracking: Tools to define and record personal savings goals tied to real-life ambitions (e.g., emergency funds, home ownership, education, travel). You log your own savings progress manually; MonieLoop does not hold or manage any money on your behalf.

Budget vs. Actual Tracking: Tools to set spending budgets across expense categories, manually log your expenditures, and receive real-time variance analysis based on the data you enter.

Financial Insights: Aggregated summaries and visual reports of spending patterns and savings progress to help users make more informed financial decisions.

Important Notice: MonieLoop is a record-keeping and financial management tool only — it does NOT hold, store, transfer, or process real money. MonieLoop does not connect to bank accounts or payment systems. All financial figures in the app are manually entered by you for personal tracking purposes only.

MonieLoop does NOT provide banking, lending, insurance, investment advice, tax advice, regulated financial advice, or any other regulated financial service.

Nothing in the Service constitutes professional financial, legal, tax, or investment advice. Always consult a qualified professional for decisions of that nature.

4. Account Registration and Security

Registration

To access the Service, you must register for an account and provide accurate, complete, and current information. You agree to update your information promptly if it changes.

Account Security

You are solely responsible for:

Maintaining the confidentiality of your username and password.

All activities that occur under your account.

Ensuring you log out from shared or public devices.

You must notify us immediately at support@monieloop.com if you suspect any unauthorised access to or use of your account. We are not liable for any loss resulting from unauthorised use of your account where you have failed to safeguard your credentials.

One Account Per User

Each account is for a single individual user. You may not transfer your account to another person or allow others to use your account credentials. Group or family use features (if made available) will be governed by separate terms.

5. Subscription and Payments

Subscription Fee

MonieLoop is offered on a subscription basis at USD $6.00 per month ("Subscription Fee"). Pricing may vary by region and will be displayed in your local currency where applicable. We reserve the right to change our pricing with 30 days' notice to you.

Billing

Your subscription begins on the date you register and provide payment. You authorise us (or our third-party payment processor) to charge the Subscription Fee to your chosen payment method on a recurring monthly basis until you cancel.

Cancellation

You may cancel your subscription at any time through the app's account settings or by contacting support@monieloop.com. Cancellation takes effect at the end of your current billing cycle. You will retain access to the Service until that date.

Refunds

All subscription fees are non-refundable except:

Where required by applicable law (including mandatory consumer protection laws in your jurisdiction).

Where we have materially failed to deliver the Service and you have notified us within 14 days.

Requests for refunds should be directed to support@monieloop.com.

Taxes

You are responsible for all applicable taxes, levies, or duties imposed by your jurisdiction on your subscription. Where we are legally required to collect such taxes, they will be added to your invoice.

Failed Payments

If a payment fails, we will notify you and may suspend access to the Service until payment is successfully processed. Persistent non-payment may result in account termination.

6. Acceptable Use

You agree to use the Service only for lawful personal financial management purposes. You must not:

Use the Service in any way that violates applicable laws or regulations, including data protection laws.

Attempt to gain unauthorised access to any part of the Service or its infrastructure.

Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

Use the Service for competitive intelligence or share its features, functionality, or data with MonieLoop's competitors.

Upload or transmit malicious code, viruses, or any material that is harmful, offensive, or unlawful.

Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Use the Service to conduct or facilitate regulated financial services activities of any kind.

Violation of this section may result in immediate suspension or termination of your account and may expose you to legal liability.

7. Intellectual Property

MonieLoop's Intellectual Property

The Service and all its content, features, and functionality — including the app, software, design, logos, trademarks, text, graphics, and underlying code — are the exclusive property of MonieLoop and its licensors. They are protected under Kenyan law (including the Copyright Act, Cap. 130 and the Trade Marks Act, Cap. 506) and applicable international intellectual property laws.

Licence to Use

Subject to your compliance with these Terms and payment of the Subscription Fee, MonieLoop grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal financial management purposes.

Your Content

You retain ownership of the financial data and other content you input into the Service ("Your Content"). By using the Service, you grant MonieLoop a limited, worldwide, royalty-free licence to use, store, and process Your Content solely to provide and improve the Service.

Restrictions

You may not reproduce, modify, distribute, sell, sublicense, or create derivative works from any part of the Service or its content without our prior written consent.

8. Data and Privacy

Our Privacy Policy governs how we collect, use, and protect your personal and financial data and is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

Key commitments:

We do not sell your personal or financial data to third parties.

Your financial data (goals, budgets, expense entries) is used only to deliver the Service to you.

We implement industry-standard security measures to protect your data.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

No Financial Advice

MonieLoop is a personal budgeting and savings record-keeping tool. It does not hold or manage real money. Nothing in the Service constitutes financial, investment, tax, legal, or accounting advice. You should consult qualified professionals before making significant financial decisions.

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

Data Accuracy

All financial data in MonieLoop — including budgets, expense entries, and savings records — is manually entered by you. The accuracy of financial insights and variance calculations depends entirely on the accuracy of the data you provide. MonieLoop does not independently verify, retrieve, or connect to any external financial data sources.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

MonieLoop's total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total Subscription Fees you paid in the three (3) months immediately preceding the claim.

MonieLoop shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, savings, data, or goodwill, even if advised of the possibility of such damages.

MonieLoop shall not be liable for financial decisions you make based on information displayed in the Service.

Certain jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply only to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MonieLoop and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of the Service in violation of these Terms.

Your breach of any representation or warranty in these Terms.

Your violation of any applicable law or regulation.

Any content you submit, post, or transmit through the Service.

12. Term and Termination

Term

These Terms remain in effect for as long as you maintain a MonieLoop account.

Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your account through the app settings or by contacting support@monieloop.com.

Termination by MonieLoop

We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

You breach any provision of these Terms.

We are required to do so by law.

Your use of the Service poses a security or legal risk to MonieLoop or other users.

You fail to pay the Subscription Fee after reasonable notice.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. You may request export of your data within 30 days of termination, after which it may be permanently deleted, subject to any legal retention requirements.

13. Governing Law and Dispute Resolution

Primary Governing Law — Kenya

These Terms and any disputes arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles.

Relevant Kenyan legislation includes, but is not limited to:

The Data Protection Act, 2019 (No. 24 of 2019) — governing personal data processing.

The Consumer Protection Act, 2012 (No. 46 of 2012) — governing consumer rights and fair dealing.

The Computer Misuse and Cybercrimes Act, 2018 — governing cybersecurity and online conduct.

The Kenya Information and Communications Act (Cap. 411A) — governing electronic communications.

The Business Laws (Amendment) Act, 2020 — governing electronic contracts and signatures.

The Central Bank of Kenya Act and associated regulations — not applicable to MonieLoop as it does not hold, process, or transmit money or financial instruments of any kind.

Dispute Resolution

In the event of a dispute, the parties shall first attempt to resolve it amicably through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to mediation administered by the Nairobi Centre for International Arbitration (NCIA) before proceeding to litigation.

If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya.

Regional Addenda

In addition to the primary governing law above, the following regional provisions apply where mandatory local consumer protection or data laws require:

European Union / European Economic Area (EEA) Users

If you are resident in the EU or EEA, the following additional provisions apply:

Data processing is governed by the EU General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679). You have the rights of access, rectification, erasure, restriction, portability, and objection as set out in Articles 15–22 of the GDPR.

Under Directive 2011/83/EU (Consumer Rights Directive), EU consumers have a 14-day right of withdrawal from distance contracts. Where this right applies to your subscription, you may withdraw within 14 days of account creation without giving reasons. To exercise this right, contact us at support@monieloop.com.

Nothing in these Terms limits mandatory consumer protections available to you under the laws of your EU member state.

United Kingdom Users

If you are resident in the United Kingdom, the following apply:

Data processing is governed by the UK GDPR and the Data Protection Act 2018.

Your statutory rights under the Consumer Rights Act 2015 are unaffected by these Terms.

The Financial Services and Markets Act 2000 (FSMA) applies to any regulated activity. MonieLoop does not carry on regulated activities and is not authorised by the Financial Conduct Authority (FCA).

Any mandatory consumer protection provisions of UK law that cannot be excluded by agreement take precedence over these Terms to the extent of any conflict.

United States Users

If you are a resident of the United States:

California residents: Your rights under the California Consumer Privacy Act (CCPA/CPRA) are honoured. You may request to know, delete, or opt out of the sale of personal information (we do not sell personal information). Contact us at info@monieloop.com.

MonieLoop is a budgeting and savings record-keeping tool only. It is not a registered investment adviser, broker-dealer, bank, or financial institution under the Investment Advisers Act of 1940, Securities Exchange Act of 1934, or applicable state law. MonieLoop does not hold, process, or transmit money.

If mandatory arbitration provisions apply in your state, please contact us at info@monieloop.com for your state-specific addendum.

African Union / Rest of Africa Users

MonieLoop acknowledges the growing pan-African digital regulatory landscape. The following frameworks are relevant:

African Union Convention on Cyber Security and Personal Data Protection (Malabo Convention) — where ratified by your country.

ECOWAS Supplementary Act A/SA.1/01/10 on Personal Data Protection — for users in ECOWAS member states.

South Africa: The Protection of Personal Information Act, 2013 (POPIA) applies to South African residents.

Nigeria: The Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023 apply to Nigerian residents.

Ghana: The Data Protection Act, 2012 (Act 843) applies to Ghanaian residents.

Rwanda: The Law n° 058/2021 of 13/10/2021 relating to the protection of personal data applies to Rwandan residents.

Where your country has enacted applicable data protection, consumer protection, or digital services laws that impose mandatory obligations on MonieLoop, those obligations will be honoured to the extent required.

Canada Users

If you are a resident of Canada:

Your personal data is processed in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) or applicable provincial privacy legislation.

Quebec residents: Act 25 (Law 25 — Law modernising legislative provisions as regards the protection of personal information) applies.

Mandatory consumer protection rights under provincial consumer protection legislation apply and are not limited by these Terms.

Australia and New Zealand Users

If you are a resident of Australia or New Zealand:

Australian residents: The Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs) govern our handling of your personal data.

New Zealand residents: The Privacy Act 2020 (NZ) applies.

Nothing in these Terms limits your rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or the New Zealand Consumer Guarantees Act 1993.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

Sending an email to your registered email address at least 14 days before the change takes effect.

Displaying a prominent notice within the app.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.

15. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and MonieLoop regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure

MonieLoop shall not be liable for any failure or delay in performance of its obligations where such failure or delay results from causes beyond its reasonable control, including acts of God, natural disasters, war, government actions, internet outages, or cyber-attacks.

Language

These Terms are drafted in English. In the event of any inconsistency between a translated version and the English version, the English version shall prevail.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Only you and MonieLoop have rights under this Agreement.
